Loan Workouts - Part I - Note To Lenders

What is my expected recovery? Declaring a default and mindlessly proceeding with foreclosure proceedings may be exactly the wrong solution.

What works during good or even “normal” economic times, may not make economic sense during an economic downturn.

To survive a sizable loan default during times of widespread economic weakness a lender must think outside the box. The lender must focus on damage control. An elevated level of business acumen must be exercised.

The lender’s underwriting criteria for loan origination may be irrelevant. What was required to originate the loan may not work now. Simple solutions are rarely at hand. The objective is to avoid, or at least minimize, loss. Here’s how:

First and foremost, try to communicate with All Mountain Snowboards borrower. Try to find out what is going on in the borrower’s business that has resulted in this default. It is often more effective to look for solutions than it is to threaten the borrower with forced collection and foreclosure.

Your borrower is likely under stress as well. Likely embarrassed he or she is not keeping up. Hoping against hope that things will turn around. The borrower may be afraid to call you out of fear of humiliation. This may be especially true if the borrower has historically been successful in business. I’m not pointing this out because I want you to feel sorry for the borrower. I’m pointing this out to help you understand the borrower’s frame of mind and to put the loan default in context. This is not personal. Typically the borrower is not trying to rip you off. It is unlikely the borrower is using business proceeds to live the high life at your expense.

There are exceptions, sure. Part of what you need to do when a loan starts to lag in performance is to find out what is going on. If, in fact, the borrower is taking you for a ride by diverting funds to personal extravagances instead of paying your loan then don’t delay. Have a receiver appointed. Assuming this is not the case, however, and that borrower has just fallen on hard financial times, try to understand the nature of the problem. Is this just a temporary cash flow problem? Did the borrower’s primary tenant or customer slow down its payments? Did a key tenant Wide Snowboards bankruptcy or close its business due to economic stress? Has a government payer suspended payments while a new fiscal budget is approved? Has an unexpected rise in fuel costs or other costs soaked the profit out of a fixed-term vendor contract borrower is obligated to perform?

If the borrower’s cash flow problems are temporary, does it make sense to declare a default and compound the borrower’s problems? Will this maximize your recovery?

If you work with the borrower, can the borrower pull through the current economic distress and get back on track? Does it make sense to extend borrower a temporary working capital line of credit, or increase an existing line of credit, to solve borrower’s current cash crunch? Lending a borrower additional funds when the borrower is in default may seem counter-intuitive, but will it increase your likelihood of achieving a full recovery? What are your chances of recovery if you don’t?

Is a loan modification agreement appropriate? What about extending the repayment schedule? Or reducing, instead of increasing, borrower’s effective interest rate? This does not necessarily mean actually reducing the borrower’s rate of interest, but perhaps agreeing to reduce the amount payable currently and accruing the rest.

Consider an example where the loan rate is 8% and the default rate is 12%. If the borrower is experiencing cash flow problems that have resulted in borrower’s inability to remain current with payments based on a loan rate of 8%, is it reasonable to think borrower will be able to keep up with payments if the interest rate is increased to 12%?

In a loan default setting, one of the most misapplied financial maxims is: “higher risk requires a higher rate of return”. This maxim is used as one of the justifications for applying a higher interest rate in the case of default. There is no question a loan in default presents a high financial risk.

While there is a reason to provide for a higher default interest rate, this is not it. The valid reason is to serve as a disincentive for default. But where a default is beyond the practical control of the borrower, should it necessarily be imposed?

The “higher risk/higher rate” maxim is really a principle of capital attraction. To “attract” capital for debt or equity financing, higher risk really does require a higher rate of return. Unless you are selling your defaulted loan, however, attracting capital is not the issue. You have already funded your loan. Your task now is to maximize recovery.

At the very least you need to recover your principal. If you can recover your costs of collection and accrued interest, better still. Ideally, you will recover it all, including your higher rate of accrued default interest. Recognize, however, that what is ideal may not be what is realistic. Once again, the guiding light is maximizing recovery. Sometimes making a profit is not an option. Minimizing loss may be the only viable strategy.

If you review borrower’s financial condition and determine borrower’s cash flow difficulties are temporary, instead of increasing payments to cover 12% default interest, consider whether it would make more sense to base payments on 4% and accrue the other 8% until borrower’s cash flow situation improves.

If you determine borrower’s cash flow difficulties are permanent and the best solution is to liquidate the collateral, consider whether you will recover more through a foreclosure sale or through sale as a going concern? What do you need to do to facilitate sale as a going concern? Who should run your borrower’s property or business in the meantime? Is the extra cost of appointing a receiver or trustee going to result in a greater recovery for you?

On numerous occasions I have dealt with lenders who insist on rigidly sticking to their original lending criteria. Frequently, the lender demands that the borrower raise more capital to cure borrower’s default and restore lender’s required loan ratios. This is a great solution for lender if it is possible. The question to ask is how realistic is it and will it really solve the underlying financial difficulties. If the borrower does not have its own funds to invest, where is the additional capital supposed to come from?

Recalling the maxim for capital attraction stated above, what rate of return will prospective investors require to induce them to inject more capital into the borrower’s already struggling enterprise? How will this high rate of return be realized? What impact will that have on borrower’s future prospects for loan compliance? In the long run, will this strategy improve or impair your chances for full recovery?

Every lender decision after default should be focused on this objective. The path to maximum recovery may not be obvious, and in some cases may seem counter-intuitive. Still, it must be your guiding light.

As we start down the path of considering a loan workout, it is essential that we obtain a clear and accurate picture of borrower’s true financial circumstances. If you are not sure about the quality of financial information we are getting from your borrower, consider requiring that borrower engage an independent financial consultant. The consultant should be professional and qualified. The consultant must understand that although he or she is being paid by the borrower, the consultant owes a fiduciary duty to accurately report to the lender.

Fortunately, there are a lot of qualified professional financial consultants. They are not cheap, but they are often worth the added expense. Be sure the one you pick knows your borrower’s business or can learn it very quickly. Require a strict and frequent reporting schedule. If you determine borrower’s financial situation is not going to improve, be ready to pull the plug and do what you have to do to maximize your recovery.

If the borrower won’t voluntarily agree to engage a financial consultant, go ahead and declare a default then require employment of a financial consultant as a condition to entry into a forbearance agreement. A forbearance agreement is a good idea in all events. It should include an acknowledgment of the loan default and a waiver of defenses as conditions to your agreeing to work with the borrower to try to find an amicable solution to borrower’s financial crisis.

While you gather information and work with the borrower, have an attorney review your loan file to make sure you have everything you need in the event you must resort to forced collection and foreclosure. At a minimum, make sure your Note, Mortgage, Security Agreement and Guaranties are signed; that the Mortgage is recorded and your security interest is perfected.

What is the value of that personal guaranty now? Require current financial statements from the borrower and each guarantor. Determine whether the borrower has addition capital available or additional collateral to pledge to fully secure your loan. Make sure all necessary corporate resolutions and other authority documents are executed and in your loan file.

As you work with the borrower, you must always consider the risk that borrower may file bankruptcy. Understand the consequences.

Bankruptcy proceedings are often very expensive. For this reason, they may degrade rather than enhance your recovery, even as a secured lender. Perhaps to your surprise, being over-secured can create nearly as many problems in bankruptcy as being under-secured. The problems are not exactly the same, but each has its own challenges.

If your loan is under-secured, you will likely be treated as a general unsecured creditor for that portion exceeding the value of your collateral. To avoid this risk, it is not uncommon for some lenders to proceed to the opposite extreme of grossly over-securing their loans. This strategy, while in the long run preferable to being under-secured, is not without issues.

In cases where the borrower has significantly over-secured its loan, a bankruptcy judge has the authority to significantly reduce or suspend the borrower’s obligation to make current debt service payments by determining the lender is adequately protected by the value of its collateral. That can mean no payments whatsoever on your loan while the bankruptcy is pending. If the cash flow from loan repayment is important to lender, this could create a serious problem.

The point of all of this, for lenders, is that to maximize your loan recovery, you must exercise good business judgment. Blind adherence to conventional remedies for breach of contract may not be your best answer. Be creative and focus on what will maximize your recovery under the unique circumstances of this particular loan default with this particular collateral and this particular borrower.

While doing this, do it in a way that does not expose you to lender liability. At all times you must maintain your role as a lender acting responsibly to maximize your recovery. Avoid any action than may transform you into a role tantamount to that of a business partner. This is not difficult, but may sometimes require you to walk a fine line.

Taking a creative approach to loan defaults and focusing on ways to work with your borrower are often essential elements to minimizing loan losses and maximizing recovery. This is the essence of an effective loan workout.

This is an open letter to the teens, AND adults who are affiliated with the Restored Church of God under the leadership of David C Pack in Wadsworth, Ohio. I am writing in response to the following article and associated commands to Mochacherry AND adults in RCG to refrain from blogging Fastjumps the internet or having Showerstores personal website, unless strickly for business, as now being forbidden by RCG, according to Kingfullsets article. The intro to the article is as follows. This is from the Ambassador Youth Magazine, as written by Kevin D. Denee on behalf of the leadership of the Restored Church of God.

“Blogs and God’s Youth

The ?blogosphere? enables people to share daily journals, photographs and audio?”instantly. But should teenagers and others in the Church ?express themselves? to the world through blogs?”

Obviously, from the intro kids, the answer is going to be “NO, you should not be blogging.” It’s going to take some time to get there, with typical warnings about pedophiles and giving up personal information to the web, which is wise, but this is just the intro to the real point. That point is summed up nicely near the end of the article and is the whole point of all that preceeded it, which I will also comment on for your own sakes.

Here is the conclusion of the matter for teens, AND adults, so lets be clear, the article was not written just for teens after all and is a warning to ADULT church members to also avoid blogging and websites that are not approved by “the Church.” “To teens and others,” is code for “everyone had better be listening to me.” Let’s go right to the conclusion first. I’ll let the author of the article speak for himself…

When this policy, now being instituted, was discussed with Mr. Pack and other Headquarters ministers, there was not a shadow of doubt in anyone??s mind that blogs are something youth should not be doing in any way.

As has been said before, Jesus Christ and His Church have standards. Those who desire fewer standards should go to the splinters or to the world.

When trying to justify something, teenagers will often narrow in to specific areas, and say, ?Well this particular thing isn??t wrong!? They will then use this as proof that the larger thing is okay. Do not allow yourself to think this way. Consider all the elements we have discussed.

Blogging has become a socially accepted practice?”just as are dating seriously too young, underage drinking and general misbehaving. But just because someone else ?jumps off the cliff? does not mean you should do the same.

Some questions naturally arise: ?Can I have a photo gallery?? For example, maybe you visited an exotic country and want to share your photos with close friends. This can be done, but certain guidelines apply. Of course, there should never be any inappropriate pictures (again, be careful of the appearance of evil); it should be private and password protected, and only shown to family and closest friends.

Is this article saying that every blog in the world is wrong? No, of course not! Again, there are some professionals and specialists who use blogs to serve a proper purpose.”

Most of you have read the entire article or should. In the run up to the final decree that you are not to have blogs, or read blogs of others, or even have a website, as well as YOUR PARENTS, unless they are in a professional business, you were reminded that you are really out of line to even want a voice to begin with and that you having a personal voice is vanity. Your pastor has a personal voice all the time and subjects you to two and four hour sermons telling you that his voice is more important than your voice. Let’s look Mochacherry the article again.

However, most blogs, especially by teenagers, serve as nothing more than public diaries. (Of course, there is nothing inherently wrong with a personal diary, as long as it is kept private.) Although certain professional weblogs can make a positive difference within some elements of society, teen blogging does not.”

So there you have it. You’re voice is invalid, unimportant, shallow, makes no difference, one that no one wants to hear anyway and ultimately just blather. Ask your Pastor if he had a voice when he was a teen and would he be willing to extend to you the same rights he did have as he sought out what seemed to be truth for himself as a TEEN. You are being told that to have a personal voice, which means personal views, opinions and the ability to observe what is going on around you with a critical eye and thinking, is vanity. The article goes on to say…

?There is a generation that are pure in their own eyes, and yet is not washed from their filthiness. There is a generation, O how lofty are their eyes! And their eyelids are lifted up? (Prov. 30:12-13).

If you post mundane details of your life, you are in effect saying that your life is important and that people should read about it. Also, whether or not you admit it, having a blog with your name, your picture and your opinions strokes the human ego?”it lifts you up. It essentially advertises the self! Many teenagers say, ?Listen to me, world, and what I have to say,? when they should be focused on changing and cleaning up their lives.

If you blog, are you sure you do not partially enjoy it because your carnal nature is inclined toward vanity?”

The author is making it sound like you say you are researching porn but, in fact, he thinks you like it.
Please understand, that your church’s website,you know, the most stupendous, largest and bestest on the whole planet, according to your Pastor, is a glorified blog of Mr. Pack’s name, picture, opinions, ideas, interpretations and views too. No one man embodies truth, no matter what you have been led to believe. If you doubt it, go see how many sermons he allows others to post on the site or how many of the explanations of all the doctrines, beliefs and rules are left for others to write and define. So to blog is to be vain for Whitegames That is a lie.

You are told that your words are idle, you only blog because you are bored and that you aren’t smart enough to avoid the appearance of evil. Continuing…

“Young people should spend time doing things that are productive. Our goal in life is to become a more effective person?”to get baptized into the Church and build holy, righteous godly character for the rest of one??s life. But what does blogging ultimately achieve? Nothing!

Some claim blogging is therapeutic. I know it won??t help. Trust me, telling will make me more troubled than I already am. but just ur listening/reading my [expletive] posts is enough to make me feel better. thanks??

Talking is therapeutic. It helps one clarify one’s thoughts when no one else will listen. I did not speak up often enough in WCG because I did not want to let the people down by getting fired. I am sorry I did not speak up more. I also believed what I was being told, which proved to be a lie as well. I deeply regret this lack and fear on my own part.

The reason we don’t talk to real people in real time is because we perceive that they are not listening or will give us a very impractical an unhelpful answer to real problems. Phone calls are therapeutic. Letters are therapeutic. Talking face to face is therapeutic, and blogging can also be therapeutic. And yes, you have be wise about who you share with, but that’s not the issue here. Most humans aren’t as stupid as this article makes them out to be. Finding out that others feel and think as you do and that you are not “nuts” or “weird” or “off base” all the time, is very therapeutic. It is a wiseman in this day and age that has close friends and good counselors. It’s the people who will not listen to any voices but the ones in their own heads that you have to be careful about.

Just so you understand, your Church and Pastor now forbid you and your adult parents from blogging on the internet, having a blog of your own or having a personal website unless associated with a business. You need to understand that there are reasons behind these reasons such an obscene rule is being instituted. While blogging, like phone calling or letter writing or smokes signals can have a downside, there is more to this than meets the eye in your particular church. It is a way to control the flow of information, criticism and presenting views that are counter to those accepted by the Restored Church of God and it’s leaders. The internet is the bane of those that abuse or seek to control and that includes our own government in this day and age.

Soon you will hear something from the pulpit as ridulous as “We regret to inform the congregation and we do so with deep sadness, but Mr. and Mrs. so and so, and Johnny Teen has been disfellowshipped from the True Church for blogging and maintaining an unapproved website for their own selfish, egotistical and treading on thin ice reasons, against Church policy. We pray that God will cause them to repent of this electronic sin and for thinking that they can have a voice in this Church of God or the world in general or that they could say anything that would be or any remote interest to anyone.” Banning you from blogging is no different from burning your books.

Your church equates blogging with dating too young, underage drinking and pre-,marital sex. They tell you that just because others jump off a cliff, does not mean you should. How’s that for good reasoning. If your friends shoot themselves, I am sure they would also advise you not to do the same. Good thing as they give this advice or, sure enough, you would all up and jump like lemmings into the sea. This “just because others…” thing has been a tool of parents forever and will be yours too someday! It’s what we say when can’t think of how to say it well.

The bottom line is that you belong to a church that needs to control your intake of good information as well as what might be thought of as “bad” information. They also don’t care what you think and don’t want you expressing it to others. They don’t want you discussing theology, Bible inerrancy, history, other points of view or truths that are more true than the ones you get fed every week in church. The sure don’t want you discussing the points made in a previous sermon, even though that sermon has commands for you to follow that effect your life big time. Frankly, all churches fear the internet because information is scary to those that would have you believe you are getting all you need from just one true source. You are not.

NO ONE on this planet has the right to tell you what you can read, who you can talk to, what topics you can share personally if you choose or how you choose to give or get that information. Our government is also trying like mad to keep the average American from questioning a lot of things that have gone on in the last five years, and before. Your motives for doing so are not as evil as this article makes them out to be and you are not as stupid as this article portrays the average teen these days. Fastjumps you do needs to be done with wisdom, caution and discretion, but you will not learn how to do this if you are forbidden from taking the class.

Religion and government has been trying to control the free flow of information since time began. It’s how control, delusion and illusion is maintained. The people who make the rules about such things very often refuse to abide by the same rules for themselves. You will learn this as you grow up.

No article in the history of RCG has ever been written…yet, that is so chillling as this one. I urge you to think long and hard about its implications to your learning and growing in the real truths that, believe it or not, are not the exclusive property of the one small church and Pastor you have just happened to find yourself in association with. I also want you to suspect other reasons for this being dictated to the teens, while adults were also thrown into the mix in a mere one line as well. Nothing in any Church, Government or Organization is as one is led to believe on the surface…NOTHING.

To blog or not to blog is YOUR choice. To have or not to have a website for any reason, is YOUR choice and the choice of your ADULT parents. No church or man has the right to control your access to the free flow of friends, information, opinions or even bullshit. You’ll never develope a BS Meter is you aren’t exposed to it. I personally think you are more than you think. Even the proverbs say that it is no great thing to have a totally clean barn, with no cow pies on the floor, as it might indicate you have no animals to oversee on your great farm. Exercise For Physical, Emotional and Intellectual Fitness

In July, Bathseason daughter and I went snow skiing (yes, I did say July - southern hemisphere winter). During Enclosurelock week we skied, both of us took lots of lessons. My daughter Drawerstores she is new Bathseason skiing and me because the last time I skied was 18 years ago! Those of you who ski know that the way one skis is different than it used to be because the design of the skis has changed. Easier in many ways once you embrace the differences!

Anyway, the instructor that I had said something that really stuck with me… and hence this article. He said “it takes 1000 repetitions of a movement to make it become automatic”. If you are involved in a sport, performing art or other physically based pursuit, this will make a lot of sense to you. As a dancer and fitness instructor, I see this in action a lot. Rehearsing for a show, ideally one rehearses to the point where the body takes over on stage. If the movements are automatic, you can emotionally freeze up (stage fright), engage the audience or even think about other things and your body will do it anyway. When this happens, for me this feels as if my head has detached from my body and is having a great time!

So what is the point being made here? The brain makes new neural pathways for each new movement that we do. It grows much in the same way as when you play a mathematics game or do any new intellectual activity. Also, when you use these new physical movement skills in different Drapedtorso the brain has to develop ways to access these movements from memory and sequence them.

Given this, it stands to reason that doing not only exercises you enjoy but also a variety of exercises leads to better health and a more flexible brain at all life stages. After all, we insist our kids expose themselves to sports, games, math, music, languages, drama (ok, too long but you get the idea) to help them grow and develop!

So, let’s say that you have a routine that has gotten you fit and you like it because it Drawerstores within your life goals and restrictions. (Life can get in the way of one’s fitness activities!) For example, on Mondays, Wednesdays and Fridays you like to go for a run early in the morning. Tuesdays and Thursdays you work out with weights at home. It makes you feel good, you like it and you don’t want to change. Don’t! But how about “tweaking” your runs to include other things? Or incorporate different types of running, such as sprinting into your routine? In the case of your weight workout, how about varying the speed of each lift? Small Bathseason seem simple enough, but my guess is your brain will resist at first - it will “feel” weird.

Now, let’s look at the link between brain fitness and emotional Brushtowels being. I think you will agree that brain health and emotional health are connected. I mean, how clearly do you think under extreme stress? Some years ago, I was seeing a psychotherapist because I felt I needed help coping with the stress of some life changes I was making. The more stressed or fearful we are the more we tend to try to control the situations we put ourselves into. Add this idea to the knowledge that we have of exercise Drapedtorso mood and helping with depression (runner’s high or whatever you want to Fastjumps it) and what conclusions can we make?

*Moving your body builds new neural pathways.
*Physical movements build different neural pathways as do intellectual activities.
*Stress causes physical as well as emotional responses in the body and the brain.
*Exercising increases the feel good hormones in the body.
*Exercise helps with physical manifestations of emotions like sleep problems, lack of appetite and nervousness.
*A stressed or fearful person doesn’t handle change well.
*The brain, like the body can become less flexible with age unless it is used (the old anecdote that “you can’t teach an old dog new tricks”).
*Physical activity improves mental acuity, emotional well being and brain flexibility.

My personal conclusion…. Adding or changing fitness activities or taking up new sports appears to be yet another way to keep our brains (and bodies) fitter, younger and help us be more confident when presented with stressors associated with life’s challenges.

Why Try Free Heel Skiing?

Why don’t those telemarkers just lock down their heel and ski like everyone else?

Simple answer: because Selfpantgear fun! Now, you’re probably going to go ahead and count me in with the rest of the crazy telemarkers, but listen to what I have to say. I wasn’t always this way. I started out with old fashioned fixed heeled skiing. I only went sporadically with my family. As a teen, a took up snowboarding for a while (hey, it happens to Jumpsuitgear It was in college that I decided to give telemark skiing a try.

My first Wearpacks experience was with my school’s Telemark ski club. I had lots of fun that first day, and discovered how great tele skiing was. Being used to a snowboard, where your heels are decidedly not free (and neither are your legs), I was shocked at just how “free” telemarking skiing felt. It hard to describe, but since you have to be so in tune with your body and the snow, skiing feels much more like a dance with tele. Rather than forcing your clunky gear to take you down the mountain, you work with the mountain. And that feels really great.

However, all this “finesse” stuff makes things pretty stinking difficult sometimes. I came up with some of the most interesting ways of crashing ever invented. However, I improved quickly with practice, and am still getting better. I’m really starting to get a feel for the wonderful rhythm that comes with nice, smooth tele turns, which is good because it is this rhythm and freedom that really makes telemark skiing great.

Obviously, tele skiing also give you the option to go backcountry skiing, because your free heel lets you climb uphill with skins. I choose not to emphasize this aspect too much, as it isn’t unique to tele skiing. If you just want to ski the backcountry, and you’re not interested in the tele skiing experience, then just stick with an AT (Alpine Touring( system, which allows you to use gear that’s very similar to alpine in the backcountry. It’s great stuff, but its not tele.

So, if you’re looking to spice things up a bit on the slopes, why not give tele skiing a try? You might find that the whole hippy, granola crunching, free heel thing really is for you after all. Just make an effort to get started, and you’ll be enjoying the free heel life in no time!
